Parallel Path Magnetic Motor (PPMT) – Evaluation License Agreement

1. Definitions

  • “Reinventy” means Reinventy Solutions Copr., a corporation incorporated under the laws of Canada, with its principal place of business at 185-911 Yates Street, Suite# 352 Victoria BC V8V 4Y9 (the “Licensor”).

  • “Materials” means the PPMT evaluation package, including 3-D CAD files (Autodesk Inventor), 2-D drawings (DXF/DWG), bill of materials, BOM spreadsheets, and related documentation, whether downloaded from this site or delivered by e-mail.

  • “You / Licensee” means the individual or legal entity that downloads or otherwise accesses the Materials.

  • “Derivative Work” means any modification, translation, adaptation, or new design based on the Materials.

2. License Grant

Subject to full compliance with this Agreement, Reinventy grants You a non-exclusive, non-transferable, revocable, worldwide, royalty-free license to:

  • a. use and reproduce the Materials for internal, non-commercial research and evaluation;

  • b. create Derivative Works for the same purpose;

  • c. display screenshots, renders, or limited excerpts of the Materials in academic papers or technical presentations, provided you include the attribution “© Reinventy Solutions – PPMT Evaluation Package”.

3. Restrictions

You shall NOT:

  1. distribute, sublicense, sell, lease, or otherwise make the Materials or Derivative Works available to any third party without Reinventy’s prior written consent;

  2. manufacture or commercialise motors or components based on the Materials;

  3. remove copyright notices, watermarking, or proprietary legends;

  4. reverse-engineer Reinventy’s unpublished firmware, source code, or composite materials (AeroMag™);

  5. use the Materials in connection with nuclear, missile, or chemical/biological weapons activities prohibited under Canadian, U.S., or EU export-control laws.

4. Intellectual Property

All intellectual-property rights in and to the Materials remain the sole property of Reinventy.
No rights are granted except as expressly set out herein.
You acquire no title, patent, trademark, or other ownership interest by downloading the Materials.

5. Export Compliance

The Materials may be subject to:

  • Canada’s Export and Import Permits Act (EIPA);

  • the U.S. Export Administration Regulations (EAR);

  • EU Dual-Use Regulation 2021/821;

  • comparable regulations in your jurisdiction.
    You agree to obtain any licences or approvals required to export, re-export, or import the Materials or any Derivative Work.

6. Privacy & Data Protection

Reinventy processes personal data (name, e-mail, IP) in Canada under PIPEDA and, where applicable, GDPR Art. 3(2).

  • Purpose: deliver the download link and provide technical updates on PPMT.

  • Legal basis: consent (Art. 6 GDPR) / meaningful consent (PIPEDA).

  • Transfers: Canada benefits from Adequacy Decision 2001/497/EC.

  • Rights: access, rectification, erasure, objection, portability.

  • Retention: data is stored for max 3 years after last contact or until you withdraw consent.
    CASL-compliant unsubscribe link is included in every e-mail.

7. DMCA & EU Copyright

If You believe any portion of the Materials infringes your copyright, submit a notice to Reinventy’s Designated Agent at legal@[your-domain] in accordance with 17 U.S.C. §512 or Article 17 DSM Directive.

8. Disclaimer of Warranty

THE MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
Reinventy disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
You assume all risk arising from use or performance of the Materials.

9. Limitation of Liability

To the maximum extent permitted by law, Reinventy is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, loss of data, or business interruption, even if advised of the possibility.
Aggregate liability shall not exceed 100 CAD.

10. Indemnification

You shall indemnify and hold harmless Reinventy from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Materials, violation of this Agreement, or infringement of third-party rights.

11. Termination

This license terminates automatically if You breach any term. Upon termination You must delete all copies of the Materials and certify destruction within 14 days. Sections 4–11 survive termination.

12. Governing Law & Jurisdiction

  • Primary: This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada.

  • EU consumers retain mandatory protections under their national law (Rome I, Art. 6).
    Any dispute shall be resolved exclusively in the courts of Toronto, Canada, unless mandatory local jurisdiction applies.

13. Entire Agreement

This document constitutes the entire agreement concerning the Materials and supersedes all prior communications.
Reinventy may update these terms; continued use after notice constitutes acceptance of the revised Agreement.
